TaxBasis AI Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the website, software applications, APIs, and online services provided by Sonnet Money Inc. (“Sonnet Money,” “we,” “us,” or “our”), including the TaxBasis platform available at https://www.taxbasis.ai (collectively, the “Services”).

By creating an account, uploading documents, or utilizing the Services, you enter into a legally binding contract with Sonnet Money Inc. and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease all access to and use of the Services.

IMPORTANT ARBITRATION & CLASS ACTION WAIVER: IF YOU ARE A PERSONAL USER, YOU AGREE THAT ALL DISPUTES BETWEEN YOU AND SONNET MONEY INC. WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION ADMINISTERED BY THE VANCOUVER INTERNATIONAL ARBITRATION CENTRE (VANIAC) IN VANCOUVER, BRITISH COLUMBIA, CANADA. YOU EXPLICITLY WAIVE ANY RIGHT TO A JURY TRIAL AND WAIVE YOUR RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, REPRESENTATIVE, OR CONSOLIDATED LEGAL PROCEEDING.

TaxBasis utilizes advanced artificial intelligence, machine learning models, and large language models (LLMs) to perform automated calculations, format tax files, and analyze tax-related documentation.

2. STRICT DISCLAIMERS & NO PROFESSIONAL SERVICES

NO CPA OR LAW FIRM STATUS: Sonnet Money Inc. is a technology company, not a registered Public Accounting (CPA) firm, a law firm, or a licensed tax preparation service. We do not employ certified accountants or lawyers to review your specific tax filings in an advisory capacity. The Services do not constitute tax, accounting, legal, financial, or investment advice.

NO TAX PREPARER LIABILITY: Sonnet Money is not a "tax preparer" or "declaration preparer" under IRC Section 7701-15, the Canadian Income Tax Act (ITA), or any federal, provincial, or state regulation. You retain sole, exclusive responsibility for the compilation, accuracy, and filing of your tax returns.

CRA & IRS AUDIT DISCLAIMER: Sonnet Money disclaims any and all liability for audits, reassessments, tax disputes, denials of deductions, fines, interest charges, penalties, or late filing fees imposed by the Canada Revenue Agency (CRA), the Internal Revenue Service (IRS), or any provincial, state, or municipal tax authority. You assume 100% of the risk for all tax positions taken using outputs from the Services. Sonnet Money Inc. will not provide audit defense, legal representation, or support in front of the CRA or IRS under any circumstances.

MANDATORY PROFESSIONAL VERIFICATION: You are strictly required to independently review, verify, and validate all outputs and recommendations generated by the Services. We strongly advise you to consult with a licensed CPA, tax attorney, or qualified professional in your jurisdiction (e.g., British Columbia, Canada, or your respective state/province) before making any financial decisions, taking tax positions, or submitting returns to any tax authority.

3. REGISTRATION AND ACCESS

You must be at least 16 years of age to use the Services. If you are under 18, you must obtain explicit parental or guardian consent. You are solely responsible for all activities occurring under your credentials. Account classifications include:

4. PROHIBITED USAGE RESTRICTIONS

You agree not to decompile, disassemble, translate, or reverse-engineer the Services; use outputs to train competing machine learning models; scrape or programmatically extract data; represent that AI-generated Output was authored entirely by a human; or bypass any security features.

5. CONTENT OWNERSHIP AND LICENSING

Your Input: You retain all ownership rights to Input you upload. You grant Sonnet Money Inc. a worldwide, non-exclusive, sublicensable, royalty-free license to use, copy, modify, distribute, and process Input solely to provide, maintain, and secure the Services.

Generated Output: Sonnet Money assigns all right, title, and interest in Output to you. Because the model operates probabilistically, Output may not be unique across users.

6. FEES, SUBSCRIPTIONS & CANCELLATIONS

Billing is auto-renewed monthly. All fees are billed in the currency specified at the time of purchase or subscription checkout (e.g., Canadian Dollars (CAD) or U.S. Dollars (USD)) and are strictly non-refundable. We reserve the right to suspend or terminate your access immediately if Fees are past due.

7. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Sonnet Money Inc., its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, losses, tax reassessments, audits, penalties, interest, liabilities, and legal fees arising out of your use of the Services, reliance on Outputs, violation of these Terms, or any third-party claims related to calculations generated by the Services.

8. LIMITATION OF LIABILITY

EXCLUSION OF DAMAGES: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SONNET MONEY INC., ITS AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR SAVINGS.

LIABILITY CAP: SONNET MONEY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED CANADIAN DOLLARS ($100 CAD) OR (B) THE TOTAL FEES PAID BY YOU TO SONNET MONEY IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

9. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.

10. GENERAL PROVISIONS

Force Majeure: Sonnet Money shall not be liable for any failure or delay in performance due to cloud provider outages, network infrastructure failures, or circumstances beyond its control.
